Dorman Products is seeking Senior Corporate Counsel, Intellectual Property, to join our Corporate legal team!

The Senior Corporate Counsel, Intellectual Property, will act as a legal advisor generally to all company business units regarding intellectual property (IP) matters and technological innovations that require creative and proactive legal guidance. In particular, Counsel will work closely with the product development organization in assessing new products for potential patent and other IP issues and in developing and registering company IP.  Counsel will advise business colleagues and other cross-functional stakeholders on legal issues and risks, lead efforts to register and protect company IP, review and prepare IP-related commercial contracts, oversee IP disputes and claims, and develop and implement company policies and procedures.  Counsel should be technically proficient but also practical and proactively manage the IP affairs of the company using sound business judgment.  Counsel will serve as a key member of the Legal Department, assisting the General Counsel & all other members of the Legal Department, with various departmental matters including budget, strategic focus and planning, and technological improvements.

 

PRIMARY DUTIES:

• Advise product development organization on IP matters, including reviewing and assessing competitive product landscape for potential IP issues, developing creative solutions and registering company-developed IP

• Draft and negotiate a variety of commercial agreements, including licensing, vendor, technology, master services, and other agreements, and support the Legal team's negotiation of applicable privacy, data security and IP provisions of inbound and outbound agreements

• Lead IP due diligence and integration efforts for acquisitions; advise on IP-related terms and conditions of acquisition agreements

• Collaborate across the broader legal team to address intellectual property issues in agreements and disputes

• Develop policies, training, and workflows to allow business teams to move quickly while addressing key legal risks in their areas of operation

• Maintain and oversee patent, trademark and copyright portfolio, provide guidance, advice, and counsel on business issues relating to intellectual property and standards

• Manage and oversee outside counsel effectively, including managing IP-related disputes and litigation

• Manage and develop IP personnel supporting IP function

• Provide additional support and assistance to the General Counsel on all other matters

 

QUALIFICATIONS:

• Willingness to roll up sleeves and be involved in all legal aspects of a large growing public company

• Self-motivated and able to work independently with little supervision or administrative support, but also accept direction from Dorman’s General Counsel

• Possess a practical, business-oriented approach to problem-solving and be able to effectively counsel internal clients by providing them with clear and concise advice and creative solutions on timelines to meet business needs

• Must be a confident business savvy lawyer who can protect the business from risk while functioning as an active member of a commercial team rather than merely a legal adviser

• Outstanding interpersonal and written and oral communication skills, and good people management skills
• Customer focused and able to influence and gain commitment at all levels of the organization

• Able to efficiently leverage outside counsel

• Must have a high work ethic, be a team player, and possess flexibility

• A positive, even-keeled, professional demeanor

• Able to prioritize conflicting demands from multiple business clients.

• Physical Requirement: Capability to lift 20 pounds.

• Working Conditions: While performing the duties of this job, the employee is regularly required to reach, swivel, carry items from one building to another, and speak and actively listen. Noise level is usually moderate.

 

EDUCATION AND EXPERIENCE: 

7+ years of professional experience gained in a law firm and/or in-house setting, with experience in the automotive or industrial sector preferred.

• Inhouse experience advising multi-national businesses preferred.

• Thorough knowledge of intellectual property laws, particularly patent law, and experience managing intellectual property portfolios.

• J.D. from an accredited law school.

• Creative, innovative, professional, customer-focused, fast learner and self-starter with strong business acumen.
