The Associate General Counsel, Commercial will provide legal support and advice across a broad range of areas to the Company’s global operations. The Associate General Counsel, Commercial will be responsible for providing support and counseling on commercial contracting, labor and employment, product liability and compliance matters.  The Associate General Counsel, Commercial will advise business colleagues and other cross-functional stakeholders on legal issues and risks, review and prepare commercial contracts, oversee legal disputes and claims, and develop and implement company policies and procedures. The Associate General Counsel, Commercial should be a practical, business-savvy lawyer and proactively manage the legal affairs of the Company using sound judgment. The Associate General Counsel, Commercial will serve as a key member of the Legal Department, assisting the General Counsel and all other members of the Legal Department on various projects and initiatives, including departmental matters, budgeting, strategic planning and technological improvements.

 

PRIMARY DUTIES (KEY RESPONSIBILITIES):
•    Advise the Company on day-to-day issues related to commercial matters, contracts, strategic initiatives and business processes
•    Review, draft and negotiate a broad range of commercial contracts, including customer sales, supply, non-disclosure, procurement, employment and consulting agreements
•    Serve as a generalist advising business leaders directly (or with outside counsel) on litigation, labor and employment, and compliance matters
•    Support the Company’s M&A activity, including coordinating and conducting due diligence, drafting transaction documentation and managing integration activities 
•    Develop policies, training, and workflows to allow business teams to move quickly while addressing key legal risks in their areas of operation
•    Collaborate across the broader Legal and Compliance Department to address issues and share best practices
•    Manage and supervise outside counsel effectively and efficiently
•    Provide additional support and assistance to the General Counsel on all other matters

 

QUALIFICATIONS:
•    Willingness to roll up sleeves and be involved in all legal aspects of a large growing public company
•    Self-motivated and able to work independently with little supervision or administrative support, but also accept direction from Dorman’s General Counsel
•    Possess a practical, business-oriented approach to problem-solving and be able to effectively counsel internal clients by providing them with clear and concise advice and creative solutions on timelines to meet business needs
•    Must be a confident, business-savvy lawyer who can protect the business from risk while functioning as an active member of a commercial team rather than merely a legal adviser
•    Outstanding interpersonal and written and oral communication skills, and good people management skills
•    Customer focused and able to influence and gain commitment at all levels of the organization
•    Able to efficiently leverage outside counsel
•    Must have a high work ethic, be a team player, and possess flexibility
•    A positive, even-keeled, professional demeanor
•    Able to prioritize conflicting demands from multiple business clients.
•    Physical Requirement: Capability to lift 20 pounds. 
•    Working Conditions: While performing the duties of this job, the employee is regularly required to reach, swivel, carry items from one building to another, and speak and actively listen.  Noise level is usually moderate.

 

EDUCATION OR EXPERIENCE:
•    8+ years of professional experience in a law firm and/or in-house setting, with several years’ experience in a large law firm setting.
•    Significant experience advising businesses on commercial matters.
•    In-house experience advising multi-national businesses preferred.
•    Experience with government contracting preferred.
•    Experience in the automotive or industrial sector preferred.
•    J.D. from an accredited law school.
•    Creative, innovative, professional, customer-focused, fast learner and self-starter with strong business acumen.
